These Affiliate Program Terms and Conditions (“Agreement”) govern participation in the ONE N ONLY Affiliate Program (“Program”).

By applying to, registering for, accessing, or participating in the Program, you (“Affiliate,” “you,” or “your”) agree to be bound by this Agreement.

The Program is operated by ONE N ONLY Entertainment (“ONE N ONLY,” “we,” “us,” or “our”), operator of OneNOnlyEDM.com.

Participation in the Program allows approved Affiliates to promote eligible ONE N ONLY products, travel packages, hotel packages, shuttle packages, experiences, reservations, and other services designated by ONE N ONLY in exchange for the opportunity to earn commissions on qualifying referrals.

1. Affiliate Application and Approval

All Affiliates must submit an application and be approved by ONE N ONLY before participating in the Program.

ONE N ONLY reserves the right, in its sole discretion, to approve or reject any application.

Submission of an application does not guarantee acceptance into the Program.

ONE N ONLY may consider any information it deems relevant when reviewing an application, including the applicant’s website, social media presence, marketing methods, audience, prior relationship with ONE N ONLY, and intended promotional activities.

Affiliate accounts may not be transferred or assigned to another person or entity without prior written approval from ONE N ONLY.

2. Affiliate Relationship

Participation in the Program does not create an employment, agency, partnership, joint venture, franchise, representative, or fiduciary relationship between the Affiliate and ONE N ONLY.

Affiliates participate as independent contractors and are solely responsible for their own activities, expenses, taxes, equipment, marketing methods, and business operations.

Affiliates have no authority to:

• Enter into agreements on behalf of ONE N ONLY;
• Make commitments or guarantees on behalf of ONE N ONLY;
• Represent themselves as employees, agents, or official representatives of ONE N ONLY;
• Bind ONE N ONLY to any obligation;
• Modify ONE N ONLY policies, prices, refund terms, package terms, schedules, or other conditions; or
• Make representations regarding ONE N ONLY services except as expressly authorized by ONE N ONLY.

3. Affiliate Tracking

ONE N ONLY currently uses AffiliateWP to administer and track the Affiliate Program.

Affiliate referrals may be tracked through methods including:

• Affiliate referral links;
• Affiliate tracking cookies;
• Affiliate-assigned promotional or coupon codes;
• Campaign tracking;
• Other tracking methods implemented or approved by ONE N ONLY.

ONE N ONLY’s systems and records will control for purposes of determining whether a referral qualifies for a commission.

Affiliate tracking technology is not guaranteed to operate without interruption or error.

Tracking may be affected by circumstances including:

• Customer browser settings;
• Cookie deletion;
• Privacy settings;
• Ad blockers;
• Device changes;
• Browser changes;
• Private browsing;
• Customer failure to use an Affiliate link or promotional code;
• Technical failures;
• Third-party software;
• Customer actions; or
• Other circumstances beyond ONE N ONLY’s reasonable control.

ONE N ONLY does not guarantee that every customer interaction or purchase will be successfully attributed to an Affiliate.

4. Qualifying Referrals

A commission may be earned only for a valid and qualifying referral.

A qualifying referral generally requires that:

1. The Affiliate is active and in good standing at the time of the referral;
2. The customer is properly attributed to the Affiliate through an authorized Affiliate tracking method;
3. The customer completes an eligible transaction;
4. The transaction is legitimate and made in good faith;
5. The customer satisfies all applicable payment obligations;
6. The reservation remains valid through the applicable event or service;
7. The applicable event, hotel stay, shuttle service, travel package, experience, or other service has been completed; and
8. The transaction has not been canceled, refunded, disputed, charged back, reversed, or determined to be fraudulent or otherwise ineligible.

ONE N ONLY reserves the right to determine whether a transaction qualifies for a commission.

5. AffiliateWP Referral Statuses

AffiliateWP may display different referral statuses throughout the life of a transaction.

For purposes of this Program, referral statuses may include:

Pending

A Pending referral represents a potential referral that has not yet been approved or confirmed.

A Pending referral does not represent an earned commission and is not payable.

Unpaid

An Unpaid referral represents a referral that has been recorded within the Affiliate system but has not yet been paid.

For ONE N ONLY’s Program, the appearance of a referral or commission as “Unpaid,” “Earnings,” or similar terminology within AffiliateWP does not necessarily mean the commission has been finally earned or is immediately payable.

All commissions remain subject to the eligibility requirements contained in this Agreement, including completion of the applicable event or service and post-event verification.

Rejected

A Rejected referral is not eligible for payment.

Referrals may be rejected for reasons including cancellation, refund, failed payment, chargeback, fraud, self-referral, Program abuse, violation of this Agreement, or any other reason that makes the transaction ineligible.

Paid

A referral is considered Paid after ONE N ONLY has approved the commission and issued payment to the Affiliate.

6. Commission Approval and Event-Based Payment Policy

Because ONE N ONLY sells event-based travel packages, accommodations, transportation, and related services that may be reserved months before they are provided, commissions are not earned solely when a customer makes a reservation or initial payment.

Affiliate commissions remain conditional until the applicable event or service has been completed.

A commission will generally become eligible for approval only after:

• The applicable event or service has occurred;
• The customer’s reservation has been completed;
• All required customer payments have been successfully received;
• The reservation has not been canceled or refunded;
• There are no known payment disputes or chargebacks;
• ONE N ONLY has completed its applicable post-event reconciliation; and
• The referral otherwise complies with this Agreement.

ONE N ONLY may maintain commissions in a pending or unpaid status until these conditions are satisfied.

7. Commission Payment Schedule

Eligible commissions are generally reviewed following completion of the applicable event or service.

ONE N ONLY may allow a post-event reconciliation period of up to 30 days following the completion of the applicable event or service before approving commissions for payment.

Approved commissions will generally be included in the next applicable Affiliate payment cycle.

ONE N ONLY may establish or modify reasonable payment schedules, payment thresholds, payment methods, and administrative requirements upon notice to Affiliates.

The date that a referral first appears in the Affiliate dashboard does not determine its payment date.

8. Payment Plans

Customers may be permitted to purchase certain ONE N ONLY products or services through installment or payment plans.

A customer’s initial deposit or installment payment does not cause an Affiliate commission to become earned or payable.

Commissions associated with payment-plan reservations remain conditional until:

• All required payments have been made;
• The reservation remains in good standing;
• The applicable event or service has been completed; and
• All other requirements of this Agreement have been satisfied.

If a customer fails to complete the payment plan or the reservation is canceled, the related Affiliate commission may be rejected.

9. Cancellations, Refunds, and Failed Reservations

No commission will be paid on transactions that are:

• Canceled;
• Fully refunded;
• Charged back;
• Reversed;
• Disputed;
• Fraudulent;
• Uncollectible;
• Associated with a failed payment;
• Voided; or
• Otherwise not successfully completed.

If a transaction is partially refunded, partially canceled, reduced, credited, transferred, or otherwise modified, ONE N ONLY may reduce the corresponding commission based on the revised eligible transaction value.

ONE N ONLY may change an AffiliateWP referral to Rejected when the underlying transaction becomes ineligible.

10. Previously Paid Commissions and Chargebacks

In some circumstances, a transaction may become ineligible after a commission has already been paid.

For example, a customer may initiate a chargeback or payment dispute after an Affiliate payout has occurred.

If a commission has already been paid for a transaction that is later:

• Refunded;
• Reversed;
• Charged back;
• Successfully disputed;
• Determined to be fraudulent;
• Found to violate this Agreement; or
• Otherwise determined to have been ineligible,

ONE N ONLY may:

• Deduct the applicable amount from future Affiliate commissions;
• Offset the amount against other amounts payable to the Affiliate; and/or
• Require repayment of the applicable commission.

11. Event Cancellations, Postponements, and Changes

Festivals, concerts, hotels, transportation providers, venues, and other third parties may cancel, postpone, reschedule, relocate, or materially modify events or services.

If an applicable event or service is canceled, postponed, rescheduled, transferred, relocated, or otherwise modified, related Affiliate commissions may remain pending until the associated customer reservations have been resolved.

No Affiliate commission will be owed on amounts refunded to customers.

If a customer’s reservation is transferred or credited toward another eligible ONE N ONLY event or service, ONE N ONLY may transfer, modify, delay, or recalculate the associated Affiliate commission as appropriate.

12. Commission Calculation

Affiliate commission rates may vary by Affiliate, promotion, event, package, product, campaign, or service.

The applicable rate will be determined by ONE N ONLY and may be communicated through the Affiliate dashboard, Affiliate agreement, campaign terms, email, or other written communication.

Unless otherwise expressly stated, commissions are calculated using the eligible commissionable transaction amount determined by ONE N ONLY.

ONE N ONLY may exclude amounts such as:

• Taxes;
• Government fees;
• Processing fees;
• Payment processing fees;
• Insurance;
• Refunded amounts;
• Credits;
• Discounts;
• Gift certificates or gift cards;
• Third-party charges;
• Non-commissionable add-ons;
• Shipping;
• Promotional credits; and
• Other amounts ONE N ONLY designates as non-commissionable.

13. Affiliate Coupons and Promotional Codes

ONE N ONLY may assign promotional or coupon codes to certain Affiliates.

When AffiliateWP coupon tracking is enabled, qualifying purchases using an Affiliate’s assigned coupon code may be attributed to that Affiliate even when the customer did not use the Affiliate’s referral URL.

Affiliate promotional codes:

• May only be used by the Affiliate to whom they are assigned unless otherwise approved;
• May only be promoted while valid and authorized;
• May not be altered or misrepresented;
• May not be advertised as offering benefits beyond those authorized by ONE N ONLY; and
• May not be distributed through unauthorized coupon or deal websites, browser extensions, automated coupon tools, or other channels prohibited by ONE N ONLY.

ONE N ONLY may disable or revoke any Affiliate promotional code at any time.

Use of a promotional code does not guarantee a commission if the underlying transaction is otherwise ineligible.

14. Referral Attribution

When more than one Affiliate may have influenced or participated in a transaction, ONE N ONLY’s tracking system and administrative records will determine Affiliate attribution.

This may include situations involving:

• Multiple Affiliate links;
• Multiple promotional codes;
• Different devices;
• Customer service assisted transactions;
• Existing customers;
• Manually attributed transactions; or
• Other conflicting referral information.

ONE N ONLY reserves the right to assign, reassign, reject, or correct Affiliate attribution when reasonably necessary to correct errors, prevent abuse, resolve disputes, or reflect the legitimate source of the referral.

Affiliate commissions will not be duplicated unless expressly authorized by ONE N ONLY.

15. Self-Referrals

Affiliates may not earn commissions from their own purchases or reservations.

Affiliates may not circumvent this restriction by making purchases through:

• Another account controlled by the Affiliate;
• A fictitious identity;
• An entity controlled by the Affiliate;
• A transaction arranged primarily for the purpose of generating a commission; or
• Any other method intended to disguise a self-referral.

ONE N ONLY reserves the right to reject any transaction it reasonably determines constitutes a self-referral or an attempt to manipulate the Program.

16. Fraud and Program Abuse

Affiliate fraud and Program manipulation are strictly prohibited.

Prohibited activities include, but are not limited to:

• Fake or fraudulent transactions;
• Stolen payment methods;
• Cookie stuffing;
• Forced clicks;
• Hidden Affiliate links;
• Automated clicks;
• Bots or automated traffic;
• Fake leads or customers;
• Duplicate or manipulated reservations;
• Unauthorized use of promotional codes;
• Commission manipulation;
• Misrepresentation of referral sources;
• Creation of transactions primarily to generate commissions;
• Collusion between Affiliates or customers;
• False identities; and
• Any attempt to manipulate AffiliateWP or ONE N ONLY’s tracking systems.

ONE N ONLY may withhold Affiliate payments while investigating suspected fraud, abuse, chargebacks, unusual activity, tracking irregularities, or violations of this Agreement.

Commissions connected to fraudulent or abusive activity may be rejected or forfeited.

17. Affiliate Marketing and Advertising

Affiliates may promote ONE N ONLY through authorized marketing channels, including websites, blogs, social media, email, and other approved methods.

All Affiliate advertising must be truthful, accurate, and not misleading.

Affiliates may not:

• Make false statements regarding ONE N ONLY;
• Misrepresent prices or discounts;
• Advertise expired promotions;
• Create false urgency;
• Misrepresent package availability;
• Make unauthorized refund promises;
• Guarantee upgrades, rooms, transportation arrangements, tickets, admissions, or other benefits;
• Misrepresent the Affiliate’s relationship with ONE N ONLY;
• Claim to be an employee or official representative of ONE N ONLY;
• Imply that an unofficial website or account is operated by ONE N ONLY;
• Engage in deceptive marketing practices; or
• Make claims about ONE N ONLY that ONE N ONLY itself could not legally make.

18. Federal Trade Commission Disclosures

Affiliates must comply with all applicable Federal Trade Commission endorsement and advertising requirements and any other applicable laws and regulations governing endorsements and advertising.

Whenever an Affiliate promotes ONE N ONLY and may receive compensation from resulting purchases, the Affiliate must clearly and conspicuously disclose the Affiliate relationship.

An acceptable disclosure may include language such as:

“I may earn a commission if you book through my link or promotional code.”

The disclosure must be presented in a manner that consumers can easily notice and understand.

Affiliates may not rely solely on terms such as “affiliate link” if the financial relationship would not otherwise be clear to consumers.

For video, social media, livestream, story, or similar content, Affiliates must make disclosures appropriate to the format and platform.

Affiliates are responsible for maintaining compliance with current applicable advertising and endorsement laws.

19. Social Media

Affiliates may promote ONE N ONLY through social media unless otherwise restricted.

Affiliates may not create social media profiles, pages, groups, usernames, or accounts that could reasonably cause consumers to believe that the account is owned, operated, sponsored, or officially managed by ONE N ONLY.

Without prior written permission, Affiliate usernames or account names may not include:

• ONE N ONLY;
• OneNOnlyEDM;
• ONE N ONLY Entertainment;
• ONE N ONLY Travel; or
• Confusingly similar variations or misspellings of ONE N ONLY trademarks or branding.

Affiliates must clearly identify themselves as independent Affiliates when necessary to prevent customer confusion.

20. Paid Search and Pay-Per-Click Advertising

Pay-per-click advertising or paid search advertising using ONE N ONLY branding is prohibited without prior written permission.

Unless specifically authorized in writing, Affiliates may not bid on keywords containing:

• ONE N ONLY;
• ONE N ONLY Entertainment;
• ONE N ONLY Travel;
• OneNOnlyEDM;
• ONE N ONLY coupon;
• ONE N ONLY promo code;
• ONE N ONLY discount;
• Misspellings or variations of ONE N ONLY branding; or
• Other branded keywords designated by ONE N ONLY.

Affiliates may not use ONE N ONLY trademarks in paid advertising in a manner likely to cause consumers to believe the advertisement was placed directly by ONE N ONLY.

21. Email, Text Message, and Direct Marketing

Affiliates may not send unsolicited commercial messages promoting ONE N ONLY.

Affiliates using email, SMS, text messaging, direct messaging, or similar marketing methods are responsible for obtaining all legally required permissions and complying with applicable marketing, privacy, anti-spam, and telecommunications laws.

Affiliates may not:

• Use purchased or unlawfully obtained email lists;
• Use scraped contact information;
• Send spam;
• Send unauthorized mass messages;
• Misrepresent the sender of a communication; or
• Suggest that communications originate directly from ONE N ONLY when they do not.

22. Intellectual Property and Brand Usage

ONE N ONLY retains all rights in its trademarks, logos, trade names, images, graphics, content, designs, promotional materials, and other intellectual property.

Approved Affiliates receive a limited, revocable, non-exclusive, non-transferable right to use promotional materials expressly provided or authorized by ONE N ONLY solely for purposes of participating in the Program.

Affiliates may not, without prior written approval:

• Modify ONE N ONLY logos or trademarks;
• Register domains containing ONE N ONLY trademarks;
• Register social media usernames containing ONE N ONLY trademarks;
• Use ONE N ONLY trademarks in business names;
• Create applications or websites that appear to be official ONE N ONLY properties;
• Sell ONE N ONLY branded merchandise;
• Use ONE N ONLY intellectual property for purposes unrelated to the Program; or
• Use ONE N ONLY branding in any misleading, defamatory, unlawful, or inappropriate manner.

Permission to use ONE N ONLY intellectual property ends immediately upon termination from the Program.

23. Prohibited Content and Activities

Affiliates may not promote ONE N ONLY through websites, accounts, advertisements, or content that:

• Promotes unlawful activity;
• Contains deceptive or fraudulent content;
• Infringes intellectual property rights;
• Contains malware or malicious software;
• Encourages fraud or payment abuse;
• Uses spam or deceptive redirects;
• Contains content that could reasonably damage ONE N ONLY’s reputation; or
• Otherwise violates applicable law or this Agreement.

24. Affiliate Account Information

Affiliates are responsible for maintaining accurate contact, payment, and tax information.

ONE N ONLY is not responsible for delayed or failed payments caused by inaccurate or incomplete information supplied by the Affiliate.

Affiliates must promptly update their information when it changes.

25. Taxes

Affiliates are solely responsible for determining and paying any federal, state, local, or other taxes arising from Affiliate commissions.

ONE N ONLY may require Affiliates to provide tax forms or other documentation before issuing payments.

Where applicable, Affiliates may be required to provide a valid IRS Form W-9 or other appropriate tax documentation.

ONE N ONLY may withhold Affiliate payments until required tax or payment information has been provided.

26. Payment Methods and Minimum Payouts

ONE N ONLY may establish available Affiliate payment methods and minimum payout thresholds.

Payment methods may include payment methods supported by AffiliateWP or payment outside of AffiliateWP, as determined by ONE N ONLY.

Affiliates are responsible for any fees charged by their financial institution or payment provider unless ONE N ONLY expressly agrees otherwise.

ONE N ONLY may combine eligible commissions into future payment periods when an Affiliate has not satisfied an applicable minimum payout requirement.

27. Suspension and Termination

ONE N ONLY may suspend, deactivate, or terminate an Affiliate account at any time, with or without cause, subject to applicable law.

Reasons for suspension or termination may include:

• Violation of this Agreement;
• Fraud or suspected fraud;
• Self-referrals;
• Misleading advertising;
• Unauthorized promotional codes;
• Spam;
• Trademark violations;
• Unauthorized paid search advertising;
• Failure to make required disclosures;
• Customer complaints;
• Damage to ONE N ONLY’s reputation;
• Inactivity;
• Abuse of the Program; or
• Any conduct ONE N ONLY reasonably determines is inconsistent with the interests or integrity of the Program.

28. Commissions Following Termination

Termination does not automatically cause otherwise legitimate referrals generated before termination to become payable.

Any commissions associated with transactions occurring before termination remain subject to all requirements of this Agreement, including completion of the applicable event or service.

ONE N ONLY may continue to process otherwise valid pre-termination commissions after termination.

However, ONE N ONLY may reject or forfeit commissions associated with:

• Fraud;
• Self-referrals;
• Deceptive marketing;
• Unauthorized advertising;
• Program manipulation;
• Material violations of this Agreement; or
• Transactions generated through prohibited conduct.

After termination, the former Affiliate must immediately stop representing themselves as a ONE N ONLY Affiliate and discontinue unauthorized use of ONE N ONLY promotional materials and intellectual property.

29. Affiliate Program Changes

ONE N ONLY may modify:

• Commission rates;
• Eligible products or services;
• Affiliate benefits;
• Promotional programs;
• Payment schedules;
• Tracking methods;
• Program rules;
• Affiliate tools; or
• These Terms and Conditions.

Material changes may be communicated through the Affiliate dashboard, website, email, or other reasonable method.

Continued participation in the Program after changes become effective constitutes acceptance of the revised terms.

If an Affiliate does not agree to revised terms, the Affiliate’s remedy is to discontinue participation in the Program.

30. No Guarantee of Earnings

ONE N ONLY makes no representation or guarantee regarding the amount of traffic, referrals, commissions, income, or other financial benefit an Affiliate may receive from participation in the Program.

Affiliate earnings depend on numerous circumstances outside ONE N ONLY’s control.

Participation in the Program is at the Affiliate’s own business risk.

31. Affiliate Tracking and Technology Disclaimer

ONE N ONLY does not warrant that AffiliateWP, ONE N ONLY websites, tracking systems, referral links, Affiliate dashboards, reporting systems, or other technology will operate uninterrupted or error-free.

ONE N ONLY will make reasonable efforts to maintain accurate Affiliate records but is not responsible for losses resulting from circumstances outside its reasonable control.

ONE N ONLY reserves the right to investigate and correct tracking errors when reasonably verifiable.

32. Disclaimer of Warranties

The Affiliate Program is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, ONE N ONLY disclaims warranties regarding the Program, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

ONE N ONLY does not guarantee:

• Continuous availability of the Program;
• Any particular level of Affiliate earnings;
• Uninterrupted Affiliate tracking;
• Availability of any particular event, package, hotel, transportation option, product, or service; or
• That the Program will meet an Affiliate’s individual expectations.

33. Limitation of Liability

To the fullest extent permitted by applicable law, ONE N ONLY will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from participation in the Program, including loss of profits, anticipated commissions, business opportunities, data, goodwill, or revenue.

Nothing in this Agreement excludes liability that cannot legally be excluded or limited.

34. Indemnification

Affiliate agrees to indemnify, defend, and hold harmless ONE N ONLY and its owners, officers, directors, employees, agents, affiliates, subsidiaries, successors, and assigns from claims, liabilities, damages, penalties, losses, judgments, costs, and reasonable attorneys’ fees arising from or relating to:

• Affiliate’s participation in the Program;
• Affiliate’s marketing or advertising activities;
• Affiliate’s violation of this Agreement;
• Affiliate’s violation of applicable law;
• Affiliate’s infringement of third-party rights;
• Affiliate’s negligence or intentional misconduct;
• Affiliate’s false or misleading statements;
• Affiliate’s failure to make required advertising disclosures; or
• Affiliate’s unauthorized representations regarding ONE N ONLY.

35. Governing Law

This Agreement will be governed by the laws of the State of California, without regard to conflict-of-law principles, except where otherwise required by applicable law.

Any additional dispute resolution, arbitration, venue, or similar provisions adopted by ONE N ONLY will be incorporated into this Agreement as applicable.

36. Severability

If any provision of this Agreement is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.

37. No Waiver

Failure by ONE N ONLY to enforce any provision of this Agreement does not constitute a waiver of that provision or ONE N ONLY’s right to enforce it later.

38. Entire Agreement

This Agreement, together with any written Affiliate commission schedules, campaign-specific terms, promotional rules, and other policies expressly incorporated by reference, constitutes the agreement between ONE N ONLY and the Affiliate concerning participation in the Program.

39. Electronic Acceptance

This Agreement constitutes an electronic contract.

By checking the applicable acceptance box, submitting an Affiliate application, creating an Affiliate account, or otherwise participating in the Program, the Affiliate acknowledges that they have read, understood, and agreed to this Agreement.

Electronic acceptance of this Agreement has the same force and effect as a handwritten signature to the extent permitted by applicable law.

40. Contact

BY APPLYING TO OR PARTICIPATING IN THE ONE N ONLY AFFILIATE PROGRAM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO THESE AFFILIATE PROGRAM TERMS AND CONDITIONS.

ONE N ONLY may consider any information it deems relevant when reviewing an application, including the applicant’s website, social media presence, marketing methods, audience, prior relationship with ONE N ONLY, and intended promotional activities.

Affiliate accounts may not be transferred or assigned to another person or entity without prior written approval from ONE N ONLY.

2. Affiliate Relationship

Participation in the Program does not create an employment, agency, partnership, joint venture, franchise, representative, or fiduciary relationship between the Affiliate and ONE N ONLY.

Affiliates participate as independent contractors and are solely responsible for their own activities, expenses, taxes, equipment, marketing methods, and business operations.

Affiliates have no authority to:

• Enter into agreements on behalf of ONE N ONLY;
• Make commitments or guarantees on behalf of ONE N ONLY;
• Represent themselves as employees, agents, or official representatives of ONE N ONLY;
• Bind ONE N ONLY to any obligation;
• Modify ONE N ONLY policies, prices, refund terms, package terms, schedules, or other conditions; or
• Make representations regarding ONE N ONLY services except as expressly authorized by ONE N ONLY.

3. Affiliate Tracking

ONE N ONLY currently uses AffiliateWP to administer and track the Affiliate Program.

Affiliate referrals may be tracked through methods including:

• Affiliate referral links;
• Affiliate tracking cookies;
• Affiliate-assigned promotional or coupon codes;
• Campaign tracking;
• Other tracking methods implemented or approved by ONE N ONLY.

ONE N ONLY’s systems and records will control for purposes of determining whether a referral qualifies for a commission.

Affiliate tracking technology is not guaranteed to operate without interruption or error.

Tracking may be affected by circumstances including:

• Customer browser settings;
• Cookie deletion;
• Privacy settings;
• Ad blockers;
• Device changes;
• Browser changes;
• Private browsing;
• Customer failure to use an Affiliate link or promotional code;
• Technical failures;
• Third-party software;
• Customer actions; or
• Other circumstances beyond ONE N ONLY’s reasonable control.

ONE N ONLY does not guarantee that every customer interaction or purchase will be successfully attributed to an Affiliate.

4. Qualifying Referrals

A commission may be earned only for a valid and qualifying referral.

A qualifying referral generally requires that:

1. The Affiliate is active and in good standing at the time of the referral;
2. The customer is properly attributed to the Affiliate through an authorized Affiliate tracking method;
3. The customer completes an eligible transaction;
4. The transaction is legitimate and made in good faith;
5. The customer satisfies all applicable payment obligations;
6. The reservation remains valid through the applicable event or service;
7. The applicable event, hotel stay, shuttle service, travel package, experience, or other service has been completed; and
8. The transaction has not been canceled, refunded, disputed, charged back, reversed, or determined to be fraudulent or otherwise ineligible.

ONE N ONLY reserves the right to determine whether a transaction qualifies for a commission.

5. AffiliateWP Referral Statuses

AffiliateWP may display different referral statuses throughout the life of a transaction.

For purposes of this Program, referral statuses may include:

Pending

A Pending referral represents a potential referral that has not yet been approved or confirmed.

A Pending referral does not represent an earned commission and is not payable.

Unpaid

An Unpaid referral represents a referral that has been recorded within the Affiliate system but has not yet been paid.

For ONE N ONLY’s Program, the appearance of a referral or commission as “Unpaid,” “Earnings,” or similar terminology within AffiliateWP does not necessarily mean the commission has been finally earned or is immediately payable.

All commissions remain subject to the eligibility requirements contained in this Agreement, including completion of the applicable event or service and post-event verification.

Rejected

A Rejected referral is not eligible for payment.

Referrals may be rejected for reasons including cancellation, refund, failed payment, chargeback, fraud, self-referral, Program abuse, violation of this Agreement, or any other reason that makes the transaction ineligible.

Paid

A referral is considered Paid after ONE N ONLY has approved the commission and issued payment to the Affiliate.

6. Commission Approval and Event-Based Payment Policy

Because ONE N ONLY sells event-based travel packages, accommodations, transportation, and related services that may be reserved months before they are provided, commissions are not earned solely when a customer makes a reservation or initial payment.

Affiliate commissions remain conditional until the applicable event or service has been completed.

A commission will generally become eligible for approval only after:

• The applicable event or service has occurred;
• The customer’s reservation has been completed;
• All required customer payments have been successfully received;
• The reservation has not been canceled or refunded;
• There are no known payment disputes or chargebacks;
• ONE N ONLY has completed its applicable post-event reconciliation; and
• The referral otherwise complies with this Agreement.

ONE N ONLY may maintain commissions in a pending or unpaid status until these conditions are satisfied.

7. Commission Payment Schedule

Eligible commissions are generally reviewed following completion of the applicable event or service.

ONE N ONLY may allow a post-event reconciliation period of up to 30 days following the completion of the applicable event or service before approving commissions for payment.

Approved commissions will generally be included in the next applicable Affiliate payment cycle.

ONE N ONLY may establish or modify reasonable payment schedules, payment thresholds, payment methods, and administrative requirements upon notice to Affiliates.

The date that a referral first appears in the Affiliate dashboard does not determine its payment date.

8. Payment Plans

Customers may be permitted to purchase certain ONE N ONLY products or services through installment or payment plans.

A customer’s initial deposit or installment payment does not cause an Affiliate commission to become earned or payable.

Commissions associated with payment-plan reservations remain conditional until:

• All required payments have been made;
• The reservation remains in good standing;
• The applicable event or service has been completed; and
• All other requirements of this Agreement have been satisfied.

If a customer fails to complete the payment plan or the reservation is canceled, the related Affiliate commission may be rejected.

9. Cancellations, Refunds, and Failed Reservations

No commission will be paid on transactions that are:

• Canceled;
• Fully refunded;
• Charged back;
• Reversed;
• Disputed;
• Fraudulent;
• Uncollectible;
• Associated with a failed payment;
• Voided; or
• Otherwise not successfully completed.

If a transaction is partially refunded, partially canceled, reduced, credited, transferred, or otherwise modified, ONE N ONLY may reduce the corresponding commission based on the revised eligible transaction value.

ONE N ONLY may change an AffiliateWP referral to Rejected when the underlying transaction becomes ineligible.

10. Previously Paid Commissions and Chargebacks

In some circumstances, a transaction may become ineligible after a commission has already been paid.

For example, a customer may initiate a chargeback or payment dispute after an Affiliate payout has occurred.

If a commission has already been paid for a transaction that is later:

• Refunded;
• Reversed;
• Charged back;
• Successfully disputed;
• Determined to be fraudulent;
• Found to violate this Agreement; or
• Otherwise determined to have been ineligible,

ONE N ONLY may:

• Deduct the applicable amount from future Affiliate commissions;
• Offset the amount against other amounts payable to the Affiliate; and/or
• Require repayment of the applicable commission.

11. Event Cancellations, Postponements, and Changes

Festivals, concerts, hotels, transportation providers, venues, and other third parties may cancel, postpone, reschedule, relocate, or materially modify events or services.

If an applicable event or service is canceled, postponed, rescheduled, transferred, relocated, or otherwise modified, related Affiliate commissions may remain pending until the associated customer reservations have been resolved.

No Affiliate commission will be owed on amounts refunded to customers.

If a customer’s reservation is transferred or credited toward another eligible ONE N ONLY event or service, ONE N ONLY may transfer, modify, delay, or recalculate the associated Affiliate commission as appropriate.

12. Commission Calculation

Affiliate commission rates may vary by Affiliate, promotion, event, package, product, campaign, or service.

The applicable rate will be determined by ONE N ONLY and may be communicated through the Affiliate dashboard, Affiliate agreement, campaign terms, email, or other written communication.

Unless otherwise expressly stated, commissions are calculated using the eligible commissionable transaction amount determined by ONE N ONLY.

ONE N ONLY may exclude amounts such as:

• Taxes;
• Government fees;
• Processing fees;
• Payment processing fees;
• Insurance;
• Refunded amounts;
• Credits;
• Discounts;
• Gift certificates or gift cards;
• Third-party charges;
• Non-commissionable add-ons;
• Shipping;
• Promotional credits; and
• Other amounts ONE N ONLY designates as non-commissionable.

13. Affiliate Coupons and Promotional Codes

ONE N ONLY may assign promotional or coupon codes to certain Affiliates.

When AffiliateWP coupon tracking is enabled, qualifying purchases using an Affiliate’s assigned coupon code may be attributed to that Affiliate even when the customer did not use the Affiliate’s referral URL.

Affiliate promotional codes:

• May only be used by the Affiliate to whom they are assigned unless otherwise approved;
• May only be promoted while valid and authorized;
• May not be altered or misrepresented;
• May not be advertised as offering benefits beyond those authorized by ONE N ONLY; and
• May not be distributed through unauthorized coupon or deal websites, browser extensions, automated coupon tools, or other channels prohibited by ONE N ONLY.

ONE N ONLY may disable or revoke any Affiliate promotional code at any time.

Use of a promotional code does not guarantee a commission if the underlying transaction is otherwise ineligible.

14. Referral Attribution

When more than one Affiliate may have influenced or participated in a transaction, ONE N ONLY’s tracking system and administrative records will determine Affiliate attribution.

This may include situations involving:

• Multiple Affiliate links;
• Multiple promotional codes;
• Different devices;
• Customer service assisted transactions;
• Existing customers;
• Manually attributed transactions; or
• Other conflicting referral information.

ONE N ONLY reserves the right to assign, reassign, reject, or correct Affiliate attribution when reasonably necessary to correct errors, prevent abuse, resolve disputes, or reflect the legitimate source of the referral.

Affiliate commissions will not be duplicated unless expressly authorized by ONE N ONLY.

15. Self-Referrals

Affiliates may not earn commissions from their own purchases or reservations.

Affiliates may not circumvent this restriction by making purchases through:

• Another account controlled by the Affiliate;
• A fictitious identity;
• An entity controlled by the Affiliate;
• A transaction arranged primarily for the purpose of generating a commission; or
• Any other method intended to disguise a self-referral.

ONE N ONLY reserves the right to reject any transaction it reasonably determines constitutes a self-referral or an attempt to manipulate the Program.

16. Fraud and Program Abuse

Affiliate fraud and Program manipulation are strictly prohibited.

Prohibited activities include, but are not limited to:

• Fake or fraudulent transactions;
• Stolen payment methods;
• Cookie stuffing;
• Forced clicks;
• Hidden Affiliate links;
• Automated clicks;
• Bots or automated traffic;
• Fake leads or customers;
• Duplicate or manipulated reservations;
• Unauthorized use of promotional codes;
• Commission manipulation;
• Misrepresentation of referral sources;
• Creation of transactions primarily to generate commissions;
• Collusion between Affiliates or customers;
• False identities; and
• Any attempt to manipulate AffiliateWP or ONE N ONLY’s tracking systems.

ONE N ONLY may withhold Affiliate payments while investigating suspected fraud, abuse, chargebacks, unusual activity, tracking irregularities, or violations of this Agreement.

Commissions connected to fraudulent or abusive activity may be rejected or forfeited.

17. Affiliate Marketing and Advertising

Affiliates may promote ONE N ONLY through authorized marketing channels, including websites, blogs, social media, email, and other approved methods.

All Affiliate advertising must be truthful, accurate, and not misleading.

Affiliates may not:

• Make false statements regarding ONE N ONLY;
• Misrepresent prices or discounts;
• Advertise expired promotions;
• Create false urgency;
• Misrepresent package availability;
• Make unauthorized refund promises;
• Guarantee upgrades, rooms, transportation arrangements, tickets, admissions, or other benefits;
• Misrepresent the Affiliate’s relationship with ONE N ONLY;
• Claim to be an employee or official representative of ONE N ONLY;
• Imply that an unofficial website or account is operated by ONE N ONLY;
• Engage in deceptive marketing practices; or
• Make claims about ONE N ONLY that ONE N ONLY itself could not legally make.

18. Federal Trade Commission Disclosures

Affiliates must comply with all applicable Federal Trade Commission endorsement and advertising requirements and any other applicable laws and regulations governing endorsements and advertising.

Whenever an Affiliate promotes ONE N ONLY and may receive compensation from resulting purchases, the Affiliate must clearly and conspicuously disclose the Affiliate relationship.

An acceptable disclosure may include language such as:

“I may earn a commission if you book through my link or promotional code.”

The disclosure must be presented in a manner that consumers can easily notice and understand.

Affiliates may not rely solely on terms such as “affiliate link” if the financial relationship would not otherwise be clear to consumers.

For video, social media, livestream, story, or similar content, Affiliates must make disclosures appropriate to the format and platform.

Affiliates are responsible for maintaining compliance with current applicable advertising and endorsement laws.

19. Social Media

Affiliates may promote ONE N ONLY through social media unless otherwise restricted.

Affiliates may not create social media profiles, pages, groups, usernames, or accounts that could reasonably cause consumers to believe that the account is owned, operated, sponsored, or officially managed by ONE N ONLY.

Without prior written permission, Affiliate usernames or account names may not include:

• ONE N ONLY;
• OneNOnlyEDM;
• ONE N ONLY Entertainment;
• ONE N ONLY Travel; or
• Confusingly similar variations or misspellings of ONE N ONLY trademarks or branding.

Affiliates must clearly identify themselves as independent Affiliates when necessary to prevent customer confusion.

20. Paid Search and Pay-Per-Click Advertising

Pay-per-click advertising or paid search advertising using ONE N ONLY branding is prohibited without prior written permission.

Unless specifically authorized in writing, Affiliates may not bid on keywords containing:

• ONE N ONLY;
• ONE N ONLY Entertainment;
• ONE N ONLY Travel;
• OneNOnlyEDM;
• ONE N ONLY coupon;
• ONE N ONLY promo code;
• ONE N ONLY discount;
• Misspellings or variations of ONE N ONLY branding; or
• Other branded keywords designated by ONE N ONLY.

Affiliates may not use ONE N ONLY trademarks in paid advertising in a manner likely to cause consumers to believe the advertisement was placed directly by ONE N ONLY.

21. Email, Text Message, and Direct Marketing

Affiliates may not send unsolicited commercial messages promoting ONE N ONLY.

Affiliates using email, SMS, text messaging, direct messaging, or similar marketing methods are responsible for obtaining all legally required permissions and complying with applicable marketing, privacy, anti-spam, and telecommunications laws.

Affiliates may not:

• Use purchased or unlawfully obtained email lists;
• Use scraped contact information;
• Send spam;
• Send unauthorized mass messages;
• Misrepresent the sender of a communication; or
• Suggest that communications originate directly from ONE N ONLY when they do not.

22. Intellectual Property and Brand Usage

ONE N ONLY retains all rights in its trademarks, logos, trade names, images, graphics, content, designs, promotional materials, and other intellectual property.

Approved Affiliates receive a limited, revocable, non-exclusive, non-transferable right to use promotional materials expressly provided or authorized by ONE N ONLY solely for purposes of participating in the Program.

Affiliates may not, without prior written approval:

• Modify ONE N ONLY logos or trademarks;
• Register domains containing ONE N ONLY trademarks;
• Register social media usernames containing ONE N ONLY trademarks;
• Use ONE N ONLY trademarks in business names;
• Create applications or websites that appear to be official ONE N ONLY properties;
• Sell ONE N ONLY branded merchandise;
• Use ONE N ONLY intellectual property for purposes unrelated to the Program; or
• Use ONE N ONLY branding in any misleading, defamatory, unlawful, or inappropriate manner.

Permission to use ONE N ONLY intellectual property ends immediately upon termination from the Program.

23. Prohibited Content and Activities

Affiliates may not promote ONE N ONLY through websites, accounts, advertisements, or content that:

• Promotes unlawful activity;
• Contains deceptive or fraudulent content;
• Infringes intellectual property rights;
• Contains malware or malicious software;
• Encourages fraud or payment abuse;
• Uses spam or deceptive redirects;
• Contains content that could reasonably damage ONE N ONLY’s reputation; or
• Otherwise violates applicable law or this Agreement.

24. Affiliate Account Information

Affiliates are responsible for maintaining accurate contact, payment, and tax information.

ONE N ONLY is not responsible for delayed or failed payments caused by inaccurate or incomplete information supplied by the Affiliate.

Affiliates must promptly update their information when it changes.

25. Taxes

Affiliates are solely responsible for determining and paying any federal, state, local, or other taxes arising from Affiliate commissions.

ONE N ONLY may require Affiliates to provide tax forms or other documentation before issuing payments.

Where applicable, Affiliates may be required to provide a valid IRS Form W-9 or other appropriate tax documentation.

ONE N ONLY may withhold Affiliate payments until required tax or payment information has been provided.

26. Payment Methods and Minimum Payouts

ONE N ONLY may establish available Affiliate payment methods and minimum payout thresholds.

Payment methods may include payment methods supported by AffiliateWP or payment outside of AffiliateWP, as determined by ONE N ONLY.

Affiliates are responsible for any fees charged by their financial institution or payment provider unless ONE N ONLY expressly agrees otherwise.

ONE N ONLY may combine eligible commissions into future payment periods when an Affiliate has not satisfied an applicable minimum payout requirement.

27. Suspension and Termination

ONE N ONLY may suspend, deactivate, or terminate an Affiliate account at any time, with or without cause, subject to applicable law.

Reasons for suspension or termination may include:

• Violation of this Agreement;
• Fraud or suspected fraud;
• Self-referrals;
• Misleading advertising;
• Unauthorized promotional codes;
• Spam;
• Trademark violations;
• Unauthorized paid search advertising;
• Failure to make required disclosures;
• Customer complaints;
• Damage to ONE N ONLY’s reputation;
• Inactivity;
• Abuse of the Program; or
• Any conduct ONE N ONLY reasonably determines is inconsistent with the interests or integrity of the Program.

28. Commissions Following Termination

Termination does not automatically cause otherwise legitimate referrals generated before termination to become payable.

Any commissions associated with transactions occurring before termination remain subject to all requirements of this Agreement, including completion of the applicable event or service.

ONE N ONLY may continue to process otherwise valid pre-termination commissions after termination.

However, ONE N ONLY may reject or forfeit commissions associated with:

• Fraud;
• Self-referrals;
• Deceptive marketing;
• Unauthorized advertising;
• Program manipulation;
• Material violations of this Agreement; or
• Transactions generated through prohibited conduct.

After termination, the former Affiliate must immediately stop representing themselves as a ONE N ONLY Affiliate and discontinue unauthorized use of ONE N ONLY promotional materials and intellectual property.

29. Affiliate Program Changes

ONE N ONLY may modify:

• Commission rates;
• Eligible products or services;
• Affiliate benefits;
• Promotional programs;
• Payment schedules;
• Tracking methods;
• Program rules;
• Affiliate tools; or
• These Terms and Conditions.

Material changes may be communicated through the Affiliate dashboard, website, email, or other reasonable method.

Continued participation in the Program after changes become effective constitutes acceptance of the revised terms.

If an Affiliate does not agree to revised terms, the Affiliate’s remedy is to discontinue participation in the Program.

30. No Guarantee of Earnings

ONE N ONLY makes no representation or guarantee regarding the amount of traffic, referrals, commissions, income, or other financial benefit an Affiliate may receive from participation in the Program.

Affiliate earnings depend on numerous circumstances outside ONE N ONLY’s control.

Participation in the Program is at the Affiliate’s own business risk.

31. Affiliate Tracking and Technology Disclaimer

ONE N ONLY does not warrant that AffiliateWP, ONE N ONLY websites, tracking systems, referral links, Affiliate dashboards, reporting systems, or other technology will operate uninterrupted or error-free.

ONE N ONLY will make reasonable efforts to maintain accurate Affiliate records but is not responsible for losses resulting from circumstances outside its reasonable control.

ONE N ONLY reserves the right to investigate and correct tracking errors when reasonably verifiable.

32. Disclaimer of Warranties

The Affiliate Program is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, ONE N ONLY disclaims warranties regarding the Program, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

ONE N ONLY does not guarantee:

• Continuous availability of the Program;
• Any particular level of Affiliate earnings;
• Uninterrupted Affiliate tracking;
• Availability of any particular event, package, hotel, transportation option, product, or service; or
• That the Program will meet an Affiliate’s individual expectations.

33. Limitation of Liability

To the fullest extent permitted by applicable law, ONE N ONLY will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from participation in the Program, including loss of profits, anticipated commissions, business opportunities, data, goodwill, or revenue.

Nothing in this Agreement excludes liability that cannot legally be excluded or limited.

34. Indemnification

Affiliate agrees to indemnify, defend, and hold harmless ONE N ONLY and its owners, officers, directors, employees, agents, affiliates, subsidiaries, successors, and assigns from claims, liabilities, damages, penalties, losses, judgments, costs, and reasonable attorneys’ fees arising from or relating to:

• Affiliate’s participation in the Program;
• Affiliate’s marketing or advertising activities;
• Affiliate’s violation of this Agreement;
• Affiliate’s violation of applicable law;
• Affiliate’s infringement of third-party rights;
• Affiliate’s negligence or intentional misconduct;
• Affiliate’s false or misleading statements;
• Affiliate’s failure to make required advertising disclosures; or
• Affiliate’s unauthorized representations regarding ONE N ONLY.

35. Governing Law

This Agreement will be governed by the laws of the State of California, without regard to conflict-of-law principles, except where otherwise required by applicable law.

Any additional dispute resolution, arbitration, venue, or similar provisions adopted by ONE N ONLY will be incorporated into this Agreement as applicable.

36. Severability

If any provision of this Agreement is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.

37. No Waiver

Failure by ONE N ONLY to enforce any provision of this Agreement does not constitute a waiver of that provision or ONE N ONLY’s right to enforce it later.

38. Entire Agreement

This Agreement, together with any written Affiliate commission schedules, campaign-specific terms, promotional rules, and other policies expressly incorporated by reference, constitutes the agreement between ONE N ONLY and the Affiliate concerning participation in the Program.

39. Electronic Acceptance

This Agreement constitutes an electronic contract.

By checking the applicable acceptance box, submitting an Affiliate application, creating an Affiliate account, or otherwise participating in the Program, the Affiliate acknowledges that they have read, understood, and agreed to this Agreement.

Electronic acceptance of this Agreement has the same force and effect as a handwritten signature to the extent permitted by applicable law.

BY APPLYING TO OR PARTICIPATING IN THE ONE N ONLY AFFILIATE PROGRAM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO THESE AFFILIATE PROGRAM TERMS AND CONDITIONS.
